Terms of Service

Waaru is a WhatsApp Business automation platform operated by Narayana Nexus(“we”, “us”, “our”), Gondia, Maharashtra, India. It lets businesses connect their WhatsApp Business number, build automation flows, manage a shared team inbox, send broadcast messages, and use AI to handle routine conversations — all through Meta’s official WhatsApp Business Cloud API.

By creating an account or using the Waaru platform, you agree to these Terms of Service, our Privacy Policy (waaru.app/privacy), our Refund & Cancellation Policy (waaru.app/refund), and our Data Processing Agreement(waaru.app/dpa) — all of which form part of the agreement between you and Narayana Nexus. Read them carefully. If you do not agree, do not use the platform.

1. Eligibility

  • You must be at least 18 years old to use Waaru.
  • You must have the authority to bind a business entity to these Terms if signing up on behalf of a company.
  • You must hold a valid Meta Business Manager account and a WhatsApp Business Account (WABA) to connect a WhatsApp number.

2. Your account

  • You are responsible for keeping your login credentials secure.
  • Do not share your account with others. Each user requires their own seat.
  • Notify us immediately at legal@waaru.app if you suspect unauthorised access.
  • You may not create multiple accounts to circumvent plan limits or trial periods.

3. WhatsApp compliance

Waaru is built on Meta’s WhatsApp Business Cloud API. By using Waaru, you agree to comply with:

  • WhatsApp Commerce Policy
  • WhatsApp Business Policy
  • Meta’s Messaging Guidelines and Template policies

You are solely responsible for ensuring that all contacts you message through Waaru have opted in to receive messages from your business. Sending unsolicited messages, spam, or messages to contacts who have not opted in is a violation of these Terms and Meta’s policies, and may result in your WABA being restricted or suspended by Meta. Waaru is not liable for any such action taken by Meta against your account.

4. Subscriptions and billing

  • Waaru subscriptions are billed in advance in Indian Rupees (INR) and processed by Razorpay Software Private Limited.
  • Monthly plans renew on the same calendar date each month. Annual plans renew once per year.
  • Meta conversation fees are passed through at Meta’s then-current published rates. These rates are set by Meta and may change without notice from Waaru.
  • If your payment fails, we will retry for up to 3 days before suspending your account. Accounts suspended for non-payment for more than 14 days may be terminated, with 7 days’ prior notice sent to your registered email address.
  • Waaru will give at least 30 days’ written notice before increasing subscription prices for existing customers.
  • All billing and cancellation terms are governed by our Refund & Cancellation Policy at waaru.app/refund.

5. Acceptable use

You must not use Waaru to:

  • Send spam, unsolicited messages, or bulk messages to contacts who have not opted in
  • Transmit harmful, illegal, threatening, abusive, or fraudulent content
  • Impersonate another person or business
  • Attempt to reverse-engineer, decompile, scrape, or extract Waaru’s source code or platform data
  • Disrupt the platform, servers, or other customers’ use of the service
  • Resell or sublicense access to Waaru, except where explicitly permitted under a written agreement with us
  • Violate any applicable Indian or international law or regulation

We may suspend or terminate accounts that violate these rules without prior notice and without refund, at our sole discretion.

6. Service availability and uptime

We make reasonable efforts to keep Waaru available and reliable. However, we do not guarantee uninterrupted or error-free service. Platform availability depends on infrastructure and services provided by third parties including Amazon Web Services, Vercel, and Meta’s WhatsApp Business API — all of which are outside our control.

Planned maintenance will be communicated in advance where reasonably possible. Unplanned outages caused by third-party infrastructure, Meta API disruptions, or circumstances beyond our reasonable control do not constitute a breach of these Terms.

We are not liable for any losses, missed messages, or business impact caused by platform downtime, whether or not it originates from our systems.

7. Force majeure

Waaru is not liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including but not limited to: outages by Meta’s WhatsApp Business API, Amazon Web Services, or Vercel; internet infrastructure failures; natural disasters; government action; regulatory changes affecting WhatsApp Business services; or any other event that could not have been prevented by reasonable diligence.

8. Data, privacy, and processing

Your content:You retain full ownership of your data — your automation flows, contact data, message templates, conversation history, and files. You grant us a limited licence to host, process, and transmit your content solely to provide the Waaru service.

Our platform: Waaru, its underlying software, designs, trademarks, and brand are owned by Narayana Nexus. Nothing in these Terms transfers any ownership of our intellectual property to you.

Platform analytics: Waaru may use anonymised, aggregated data about platform usage to publish statistics, improve the product, and for our own marketing purposes. No personally identifiable information or message content is used for this purpose. Full details are in our Privacy Policy at waaru.app/privacy.

Marketing communications: By creating an account, you agree to receive product updates and occasional marketing communications from Waaru as described in our Privacy Policy. You may opt out at any time.

Data processing:To the extent you use Waaru to process personal data of your own customers, you acknowledge that you are the Data Fiduciary and Waaru acts as your Data Processor under India’s Digital Personal Data Protection Act, 2023. This relationship is governed by our Data Processing Agreement at waaru.app/dpa, which forms part of these Terms. By accepting these Terms, you represent that you have a lawful basis to process that data and that your customers have consented to receive messages from your business. You indemnify Waaru against any claim arising from your failure to obtain valid consent from your customers.

9. Automation outcomes

Waaru provides the infrastructure to run the automation flows you design and configure. We are not responsible for the content, accuracy, tone, or outcomes of messages sent through flows you have built. You are solely responsible for testing your flows before deploying them to live customers.

10. Data retention and deletion

On account cancellation or termination, your access continues until the end of your current paid billing period. After that:

  • Your workspace data is retained for 30 days and then permanently deleted.
  • Billing records are retained for 7 years as required by Indian accounting law.
  • We may retain data longer where required by applicable law, court order, or request from a competent authority.

11. Limitation of liability

To the maximum extent permitted by Indian law, Narayana Nexus’s total liability for any claim arising from your use of Waaru shall not exceed the total fees you paid to us in the three months preceding the claim.

We are not liable for indirect, incidental, consequential, or punitive damages, including lost revenue, lost profits, lost data, or business interruption — even if we have been advised of the possibility of such damages.

12. Termination

By you: You may cancel your subscription at any time from your account settings. Your access continues until the end of the current paid billing period. No refund is issued for the remaining period. See waaru.app/refund for full details.

By us:We may suspend or terminate your account immediately and without refund for violations of these Terms, Meta’s policies, applicable law, or conduct that we reasonably determine is harmful to the platform or other customers.

13. Governing law and jurisdiction

These Terms are governed by the laws of India. Any dispute arising from or relating to these Terms or your use of Waaru shall be subject to the exclusive jurisdiction of the courts at Gondia, Maharashtra, India.

Before initiating legal proceedings, both parties agree to first attempt good-faith resolution by written notice for a period of at least 30 days.

14. Changes to these Terms

We will update this page when the Terms change and revise the “Last updated” date at the top. For material changes, we will email registered customers at least 14 days before the new Terms take effect. Continued use of Waaru after that date constitutes acceptance of the updated Terms.
